Terms and Conditions
These Terms and Conditions govern the use of this website and define the general framework for service engagements with VCSSystems.
1. Acceptance of Terms
By accessing vcssystems.com or engaging our services, you agree to be bound by these Terms and Conditions.
2. Scope of Services
VCSSystems provides custom software development, ERP solutions, and mobile application services. Specific deliverables, timelines, and costs will be defined in a separate Statement of Work (SOW).
3. Intellectual Property (IP)
- Client Ownership: Upon full payment of all applicable fees, the final custom software code and deliverables shall be deemed a “Work Made for Hire,” and ownership shall transfer to the Client.
- VCS Pre-existing IP: VCSSystems retains ownership of all pre-existing tools, libraries, frameworks, and methodologies used in the project. The Client is granted a non-exclusive, perpetual license to use such embedded components.
4. Payment Terms
Invoices are payable within 14 days of receipt. Late payments may incur a 1.5% monthly interest. VCSSystems reserves the right to suspend services for non-payment.
5. Limitation of Liability
To the maximum extent permitted by law, VCSSystems shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or data. Our total liability for any claim shall not exceed the total fees paid by the Client in the six (6) months preceding the claim.
6. Confidentiality
Both parties agree to maintain the confidentiality of all Confidential Information, including trade secrets, source code, and business strategies, during the engagement and for a period of three (3) to five (5) years thereafter.
7. Warranty & Acceptance
VCSSystems warrants that the software will materially conform to the specifications outlined in the SOW. The Client shall have an Acceptance Period of 15 to 30 days following delivery to report any defects or non-conformities for correction at no additional cost.
8. Governing Law & Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka.
